What you’ll do
The Senior Assistant Company Secretary is a governance leadership role with accountability for PLC level governance, disclosure obligations, and shareholder-related requirements within a dual listed (UK and US) FTSE 100 company. The role supports the Group Deputy Company Secretary in statutory and regulatory compliance, market disclosures and Board and Committee governance, ensuring robust governance standards.
- Plc governance – oversee statutory, listing and disclosure obligations in line with UK and US‑listed requirements; ensure governance processes, controls and documentation meet regulatory requirements and best practice; oversee implementation and operation of key governance policies, including Market Abuse Regulations; oversee plc regulatory filings and market disclosures; maintain a forward‑looking view of governance developments.
- Board and Committee governance – act as Secretary to plc Board Committees and the Group Disclosure Committee; lead the preparation of Company Secretariat papers; support Board Performance review; provide governance advice and support to the Chair, Non‑Executive Directors and senior stakeholders.
- Corporate reporting and disclosure – lead the Company Secretariat workstream for the Annual Report; oversee governance review processes for half‑year results and quarterly trading updates; provide oversight on related‑party transactions and conflict‑of‑interest management.
- AGM and shareholder governance – lead governance aspects of the AGM; oversee dividend payments; manage relationship with Registrar and ADR Depository provider.
- Line management – manage the Assistant Company Secretary and Senior Company Secretarial Assistant, setting governance standards and expectations.
- Deputise for the Group Deputy Company Secretary, as required.
Who you are
- Strong technical knowledge of the UK Companies Act, UK Corporate Governance Code and UK Listing Rules (US‑listed experience advantageous).
- CGI‑qualified with significant post‑qualification experience in a Corporate Secretariat function, including experience within a plc.
- Strong interpersonal skills and ability to build and maintain relationships with senior stakeholders.
- Excellent written and verbal communication skills, with strong attention to detail.
- Proven organisational and forward‑planning skills, with the ability to prioritise workload and manage deadlines.
- Flexible approach to working and a positive contribution to team effectiveness and process efficiencies.
- Experience effectively managing and leading a team.
