Associate Director – Compliance & Risk Recruitment
Meraki Talent are working with a leading global financial institution to help them identify a Senior Private Market Lawyer.
In this role you will play a key role in providing legal and regulatory advice with respect to the funds and asset management businesses across the business.
Key support in this role will be provided to the Private Markets business within the Private Bank.
Primarily, you will be responsible for advising on the manufacture, maintenance and global distribution of private funds domiciled in Luxembourg.
As the private markets funds established are feeder funds and fund of funds, you will support the business on legal review of underlying investments. Additionally, support may be required across a broad range of fund products including UCITS, QIAIFs and hedge funds domiciled across the UK, Luxembourg, Ireland and Jersey.
The role will also provide support on the implementation of all aspects of regulatory change (including sustainability) as it impacts the funds and asset management businesses across the group.
Some of your duties will include:
- Development and implementation of best practice legal strategies to manage risk related to non-adherence of laws, rules and regulations.
- Legal advice and support to the bank’s funds and asset management businesses on legal matters including the structuring, manufacture and distribution of funds.
- Subject matter support in the Legal department’s representation of the bank in legal proceedings related to the funds and asset management activities, such as litigation, arbitration, and regulatory investigations.
- Creation and review of legal documents such as fund offering documents, investment management agreements, distribution and placement agent agreements and other fund related agreements to ensure compliance with applicable laws, rules and regulations.
- Legal research and analysis to stay up to date on changes in laws and regulations that may impact the funds and asset management activities.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to funds and investment management activities.
We are looking for:
- Experienced private markets funds lawyer;
- Strong knowledge and experience of Luxembourg Reserved Alternative Investment Funds (RAIF);
- Experience of advising funds on global distribution of private markets funds to HNW retail clients;
- Good working knowledge of key regulations applicable to funds, asset managers and fund distribution including UCITS, AIFMD, MIFID, SFDR and SDR; and
- Strong interpersonal and communication skills.
- Able to work effectively as a part of a team and build trust and strong relationships with colleagues and stakeholders.
