Role SummaryThe M&A IT Contracts Project Manager is responsible for leading the end-to-end integration or divestiture of IT contractual landscapes during corporate transactions. You will oversee the identification, evaluation, and migration of hundreds of vendor agreements—including software (SaaS/On-prem), hardware leases, and cloud service providers. Your primary mission is to ensure “Day 1 Readiness” by securing the legal right to operate the target company’s technology stack while identifying cost‑saving synergies through contract consolidation.

Responsibilities

  • Due Diligence & Audit: Lead the IT workstream during the pre‑deal phase to identify “Change of Control” triggers, non‑transferable licenses, and hidden financial liabilities in the target’s IT portfolio.
  • TSA Negotiation & Management: Draft and manage IT‑specific Transition Service Agreements (TSAs), ensuring that the seller provides critical system access and support during the transition period without breaching third‑party terms.
  • Contract Migration & Novation: Execute the legal transfer (novation) or assignment of key IT contracts from the seller to the buyer, coordinating closely with Legal, Procurement, and Vendor Management Offices.
  • Synergy Realization: Perform detailed cost‑benefit analyses to identify overlapping vendors (e.g., consolidating two Salesforce instances or AWS/Azure agreements) to achieve “Day 100” savings targets.
  • Stakeholder Advocacy: Act as the “translator” between technical engineering leads and senior executive stakeholders, effectively “selling” the necessity of contract remediation or system sunsetting to meet deal timelines.
  • S/4HANA & ERP Integration: Oversee the migration of contract data into centralized ERP systems (primarily SAP S/4HANA) to ensure continuous billing and compliance visibility post‑close.

Requirements

  • IT‑Legal Literacy: Deep understanding of software licensing models (perpetual vs. subscription), cloud service levels (SLAs), and the complexities of transferring Enterprise Agreements (EAs).
  • Project Management Expertise: Mastery of project governance frameworks (PMP or Prince2) with a proven ability to manage high‑pressure, fixed‑deadline “M&A clock” environments.
  • Financial & Risk Modeling: Ability to perform valuation and risk assessments on contracts, including rNPV (risk‑adjusted Net Present Value) calculations for potential audit penalties or early termination fees.
  • Negotiation & Influencing: Exceptional “internal sales” skills to influence senior stakeholders and external vendors during aggressive post‑merger renegotiations.
  • Data Room Proficiency: Experience managing Virtual Data Rooms (VDRs) and contract management software (such as Icertis or Sirion) to track thousands of clauses across global entities.

Desirable Skills

  • ERP Expertise: Hands‑on experience with SAP S/4HANA (S4), particularly the procurement and contract management modules, to drive automated compliance tracking.
  • Advanced Education: An MBA or a postgraduate degree in Business Law or Economics is highly preferred to support complex financial deal‑structuring discussions.
  • AI for Contracts: Familiarity with AI‑driven contract analysis tools (e.g., Kira Systems or Luminance) to accelerate the due diligence phase through automated clause extraction.
