Our client is a highly respected and internationally recognised organisation with an outstanding reputation in its sector. They are seeking a Corporate Governance Manager with strong subsidiary governance and compliance experience to join their team on a contract basis with the potential to go permanent.
This is a broad corporate governance role that extends beyond traditional company secretarial responsibilities, with a strong focus on subsidiary governance, compliance frameworks and governance improvement initiatives. The successful candidate will bring experience in implementing compliance processes, embedding governance frameworks and managing compliance activities, alongside a strong understanding of subsidiary governance.
Sitting within a highly regarded company secretarial function, you will play a key role in enhancing governance standards, driving consistency across the organisation and providing practical, commercially focused advice on subsidiary governance, entity management and compliance matters.
Key responsibilities will include:
- Managing a small team within the subsidiary governance function.
- Leading the development, implementation and enhancement of subsidiary governance frameworks across the organisation.
- Advising senior stakeholders on subsidiary governance matters, entity management and governance best practice.
- Implementing and monitoring compliance frameworks, including oversight of governance policies and processes.
- Establishing and monitoring compliance with the Entity Governance Policy.
- Supporting subsidiary Boards and committees to ensure effective and efficient governance processes.
- Working closely with the wider company secretarial function and external company secretarial providers.
- Driving continuous improvement initiatives and supporting ad hoc governance projects.
The organisation is looking for someone who can act as a trusted partner, helping to strengthen governance frameworks and deliver practical, solutions-focused and commercially minded advice across the business.
To be considered, you should:
- Be a qualified Company Secretary (ACIS or equivalent).
- Be immediately available or available to start at short notice
- Have extensive experience in subsidiary governance, including establishing, implementing and enhancing governance frameworks.
- Have proven experience implementing compliance frameworks, managing governance compliance processes or leading a compliance function.
- Have strong expertise in entity management, governance best practice and subsidiary oversight.
- Be confident advising senior stakeholders and managing complex relationships across a large organisation.
- Ideally have experience working within a large corporate.
- Have experience managing a small team.
- Have a genuine passion for subsidiary governance, compliance and continuous improvement, with a clear understanding of what excellent governance looks like.
