Based in London, the Paralegal will be responsible for providing comprehensive legal and administrative support for the Corporate team, in particular private equity and mergers & acquisitions transactions, including drafting and managing corporate documents, conducting due diligence, coordinating filings, using AI-assisted due diligence and document review tools and assisting with transaction signings, closings and post-closing requirements.
Responsibilities
- Assist attorneys in all phases of private equity, M&A and corporate transactions.
- Perform various day-to-day matter management tasks.
- Coordinate and assist with preparation of corporate documentation and ancillary transaction documents, including board minutes, written resolutions and the maintenance of statutory registers and minute books.
- Conduct legal and corporate due diligence, including managing the virtual data room and preparing diligence reports and checklists.
- Prepare and maintain closing checklists and transaction bibles and coordinate statutory filings with Companies House and other registries.
- Track and manage post-closing deliverables and deadlines, including scheduling key events.
- Support transaction closings, including preparing signature packets, managing execution via DocuSign and assembling final executed documents and client-facing closing binders.
- Liaise with clients, counterparties, internal teams and external advisers.
- Conduct legal and company research and prepare research notes and summaries to support the team’s advice.
- Assist with the preparation of pitches and business development materials.
- Other tasks and responsibilities as assigned by the Corporate team members.

- Willingness to work additional hours, including evenings and weekends, as transaction demands require.
Experience
- Bachelor’s degree.
- Relevant experience as a Paralegal or Legal Assistant within a corporate/M&A or private equity team, or other legal transactions context, preferred.
- Proficient with Microsoft Word, Excel, Outlook and Adobe Acrobat. Familiarity with a document management system (e.g. iManage) and virtual data room platforms is an advantage.
