Remote Company Secretary
My client is currently seeking an experienced fully qualified Company Secretarial Senior Associate. This is a full-time role with flexible working embedded; applicants seeking a four-day week are also welcome. The role is fully remote, but attendance at physical board meetings (typically London-based) may be required 1–2 times per month.
You will play a vital role supporting a diverse client base, including publicly listed companies, financially regulated organisations, private trading firms, and non-profit entities. Their governance team encourages professional growth across different areas, avoiding rigid role boundaries.
Key Responsibilities
- Advising clients on corporate legal matters, company secretarial compliance, and governance practices.
- Attending board and committee meetings, taking minutes, and advising on corporate governance issues.
- Providing leadership within the team, helping to set a strong workplace culture and environment.
- Building and maintaining strong client relationships across multiple sectors.
- Drafting corporate policies, compliance documents, and governance materials.
- Supporting clients with special projects, including corporate transactions, share reorganisations, and board effectiveness reviews.
- Managing and mentoring junior team members to support professional development
Key Skills & Experience
- CGI-qualified Chartered Secretary
- Strong experience taking board minutes and supporting boards / committees with governance matters.
- Detailed knowledge of the Companies Act 2006.
- Solid understanding of corporate governance principles and practices.
- Familiarity with the Listing and Disclosure Rules, the UK Corporate Governance Code, or the QCA Code is advantageous but not essential.
- At least 2 years’ experience in-house or in a professional services firm.
- Experience supporting publicly listed or regulated organisations is preferred.
