Director – Portfolio Management Oversight – JTC AIFM Solutions UK
Asenior leadership role responsible for independent oversight of all portfoliomanagement activity undertaken by the AIFM, including delegated PMs, AR “adviceonly” arrangements, and seconded PM staff. The role leads investment riskoversight, AML assessments for new investments, and fund documentationgovernance, and contributes to valuation oversight while remaining fullyindependent of PM execution. The role has no delegated investment discretionand does not participate in portfolio construction, trade execution, or day‑to‑dayinvestment decision‑making. The SMF4 designation reflects responsibility forinvestment and portfolio‑related risk oversight within the AIFM, rather thanfirm‑wide enterprise risk management. The role is a central pillar of theAIFM’s investment governance and a key support to the CEO.
MAIN RESPONSIBILITIES AND DUTIES
PORTFOLIOMANAGEMENT OVERSIGHT
- Oversee investment activity across public and private markets, ensuring alignment with mandates, risk appetite, and regulatory expectations.
- Review investment proposals, portfolio exposures, liquidity, leverage, and concentration risks.
- Provide independent challenge to PMs and ARs on strategy, assumptions, and risk taking.
- Attend the Investment Committee as a non‑voting member, maintaining independence from PM execution.
AML RISKASSESSMENT
- Conduct AML assessments for all new investments, including counterparties, sponsors, borrowers, and co investors.
- Perform enhanced due diligence for higher risk jurisdictions, structures, or PEP linked arrangements.
- Escalate material AML concerns to the MLRO and Risk Committee.
- Integrate AML findings into IC materials and investment due diligence processes.
- The role does not replace or duplicate the responsibilities of the MLRO but provides investment‑specific AML risk assessment to support informed decision‑making.
FUNDDOCUMENTATION & IMA GOVERNANCE
- Review and challenge fund documentation, including prospectuses, PPMs, LPAs, IMAs, investment guidelines, and side letters.
- Ensure investment restrictions, leverage limits, valuation terms, and liquidity provisions are accurate and operationally feasible.
- Oversee contractual arrangements with delegated PMs and AR advisers where relevant to investment governance.
- Monitor ongoing alignment between fund documentation, mandates, and actual portfolio activity, escalating deviations where identified.
VALUATIONOVERSIGHT
- Serve as a member of the Valuation Committee, providing independent challenge on valuation methodologies, assumptions, and private markets fair value governance.
- Remain independent of valuation preparation and approval, ensuring PMs and seconded staff do not influence valuation outcomes.
- Ensure valuation governance remains compliant with AIFMD, FCA expectations, and industry best practice, including the management of conflicts of interest.
RISKOVERSIGHT
- Risk oversight responsibilities are focused on investment, portfolio, and valuation‑related risks, working alongside Compliance and other control functions for non‑investment risks.
- Serve as a member of the Risk Committee, providing investment risk challenge across liquidity, leverage, valuation, counterparty, and concentration risks.
- Line manage the public markets part time Risk Officer to ensure coherence across risk oversight activities.
- Monitor emerging risks and elevate material issues to the CEO and Board.
GOVERNANCE
- Produce clear, high quality oversight reporting for the CEO, Board, and committees.
- Contribute to the Management Committee to ensure investment related risks and oversight findings inform business planning.
- Support regulatory inspections and supervisory reviews.
ESSENTIAL REQUIREMENTS
- Maintain and develop the Group’s culture, vision, values and reputation within the marketplace and in addition with all employees, clients, intermediaries and regulatory/official bodies.
- Adhere to self‑development and CPD requirements in accordance with qualification level and in‑house procedures.
- Keep up to date knowledge of the regulatory environment to ensure the business is prepared for new legislation and regulations that will impact the business in the future.
- Ensure JTC remains compliant to all applicable legislation and in good standing within the relevant jurisdiction and public bodies.
- Strong understanding of AIFMD/UK AIFM rules, delegation requirements, and FCA expectations.
- Strong knowledge of private markets (private equity, private credit, infrastructure, real estate) and public markets.
- Experience conducting AML assessments for investment transactions.
- Familiarity with valuation governance, liquidity management, leverage monitoring, and investment due diligence.
- Ability to challenge senior PMs and advisers constructively and credibly.
- Strong governance, documentation, and reporting skills, with high integrity and independence of judgement.
- Prior FCA controlled function holder and experience.
