Base pay range
The M&A Director will lead the full lifecycle of strategic acquisitions for Pharmacy2U, from sourcing and assessment through to deal execution and handover for integration. The role is critical to achieving the company's growth ambitions and will focus on identifying high‑quality opportunities, evaluating strategic fit, structuring deals, and driving transactions to completion. This role requires deep expertise in end‑to‑end M&A execution, strong analytical and commercial judgment, and the ability to manage complex deal processes of various sizes with multiple internal and external stakeholders. While our Strategy Director will lead formal integration planning and delivery, the M&A Director will ensure seamless knowledge transfer and risk mitigation into integration workstreams.
Key Responsibilities
- Deal Sourcing & Pipeline Management – Work with the Executive and Strategy teams to identify, evaluate, and prioritise acquisition opportunities aligned with Pharmacy2U’s strategic goals; build and maintain relationships with potential targets, external advisors, and industry stakeholders; monitor market trends, competitor activity, and sector developments.
- Evaluation & Due Diligence – Lead financial, commercial, operational, and legal due diligence across multiple concurrent workstreams; engage and coordinate internal subject‑matter experts; manage external advisors and assess deal risks.
- Deal Structuring & Negotiation – Develop optimal transaction structures covering valuation, consideration mechanisms, earn‑outs, equity splits, and payment terms; lead negotiation of term sheets, acquisition agreements, and key transaction documentation; assess regulatory, tax, financing, and governance implications.
- Stakeholder & Executive Management – Act as the central coordination point across internal functions including Finance, Legal, HR, Technology, Commercial, and Operations; provide clear, high‑quality reporting and recommendations to the Executive team and Board; influence and align senior stakeholders to drive informed and timely decision‑making.
- Transaction Execution & Close – Own the end‑to‑end transaction process, ensuring milestones are achieved, risks are managed, and all legal and financial requirements are met; drive deals through signing and closing; coordinate handover to the Strategy Office for integration.
Requirements
- Essential – Proven track record of leading end‑to‑end M&A transactions in a corporate, private equity, or top‑tier advisory environment; strong financial and commercial acumen with hands‑on experience in valuation, modelling, structuring, and negotiations; deep knowledge of due diligence processes; exceptional stakeholder management skills, including experience working with senior executives and Boards; ability to manage multiple transactions simultaneously and deliver high‑quality outputs under tight deadlines; excellent written and verbal communication skills.
- Desirable – Professional qualifications such as ACA or MBA; experience in healthcare, technology‑enabled services, or regulated sectors; previous exposure to integration planning or execution.
