We're looking for a Governance Manager to join our team in London on a permanent basis. This role offers a salary of £46,000 per annum and a hybrid working pattern of 2 days in the office and 3 days from home each week.
Job Duties
The Governance Manager will advise and support the ICAEW Board, committees, and subsidiary companies in line with the ICAEW's Royal Charter and governance framework, statutory and regulatory requirements, and best practice. They will work with the Chairs of the ICAEW Council, Board, governance and committees and the Regulatory Board, providing professional and practical governance services and advice, and leading on high profile governance projects such as Council elections and AGMs.
Key Responsibilities
- Organise and support ICAEW Annual and Special Meetings.
- Advise on and support meetings of the ICAEW Board and Council, other governance committees and the Regulatory Board, including the preparation of agendas, reports, minutes and associated documentation.
- Ensure Board, Council and committee members are well briefed and equipped to fulfil their roles, supporting communications via Teams, email, website and webinars and organising induction of new members and training of existing members.
- Run elections to and from ICAEW Council, including biennial Council elections, election of Chair of Council, members of the Board and Nominating Committee and the election of the Vice President.
- Maintain the Royal Charter, Principal Bye‑Laws, ICAEW Governance Handbook, terms of reference of election regulations and related policies, looking to improve effectiveness and efficiency where possible.
- Support the Active Member Conduct Procedure, including receipt of complaints, establishment of panels and administration of decisions.
- Act as company and board secretary to the subsidiaries of ICAEW including the charitable arm (CAT Ltd) and international subsidiaries and branches.
- Act as company and board secretary to associate organisations such as CCAB and Chartered Accountants Worldwide.
- Perform other duties as required in line with business needs.
Qualifications
- Previous experience working in a governance environment.
- Good standard of education with an appropriate qualification or part‑qualification, e.g., CGI.
- Excellent stakeholder management and strong communication skills.
- Attention to detail, including forward planning, accurate minute taking and proofreading documents.
- Intelligent and resourceful with an organised, practical problem‑solving approach focused on required outcomes.
- Proactive in identifying and recommending improvements to existing processes.
- Collaborative team player with a flexible attitude.
- Good working knowledge of the MS Office suite (Word, Outlook, PowerPoint, Excel) and confidence in maintaining records in relevant database systems (MS Dynamics).
- Project management experience desirable but not essential.
