An excellent opportunity has arisen for a Corporate Commercial Solicitor to join a successful regional law firm based in their City office. The role offers exposure to a broad range of corporate transactions together with ancillary commercial matters, working closely with senior stakeholders across the business.
The successful individual will provide high quality legal advice on corporate transactions and commercial matters, combining strong technical corporate expertise with practical commercial acumen. You will manage your own caseload while supporting senior colleagues on more complex transactions. This role would suit someone who enjoys a varied workload within a commercially focused environment.
The Role
You will handle a broad range of corporate and commercial matters including:
- Advising on and managing mergers, acquisitions, disposals and restructurings including share purchase agreements.
- Conducting and coordinating legal due diligence, including reviewing corporate records, commercial contracts, finance documents and regulatory compliance.
- Drafting and negotiating shareholders’ agreements, investment agreements, corporate governance documentation and board and shareholder resolutions.
- Advising on Companies Act compliance, director duties, corporate structuring, capitalisation and company secretarial matters including statutory registers and filings.
- Supporting clients with corporate reorganisations, SPV incorporations and joint ventures.
- Drafting, reviewing and negotiating commercial agreements including supply agreements, service agreements, framework agreements and IP or technology related documents.
- Advising on contractual risk, liability, indemnities, limitation of liability provisions and industry specific compliance issues.
- Supporting clients with operational matters including terms and conditions of business, procurement contracts and commercial licensing arrangements.
- Acting as a key point of contact for clients, ensuring a responsive, pragmatic and solutions focused service, while working collaboratively with partners, senior solicitors and cross departmental colleagues, particularly on transactions involving property or finance elements.
About You
To be considered for this Corporate Commercial Solicitor role you will have:
- Qualified Solicitor in England & Wales with a min 4+ years PQE, or more.
- Manage your own caseload independently
- Strong experience in corporate and commercial work.
- Excellent drafting and negotiation skills.
- A pragmatic and commercially minded approach to legal advice.
- The ability to communicate legal risk clearly to non-legal stakeholders.
