Senior Commercial Counsel

Location: London – Hybrid

Salary: £120,000 – £140,000

Responsibilities

  • Structure strategic SaaS subscription agreements and other commercial contracts, taking clear positions on key risk areas such as IP licensing, cloud liability, service levels and data protection.
  • Lead negotiations as the primary legal representative, asserting Kaluza’s stance and driving discussions toward successful outcomes while collaborating with business stakeholders.
  • Provide commercial strategy support for RFPs, pricing structures and risk allocation in large‑scale international deals.
  • Deliver concise, structured legal advice in fast‑moving commercial conversations, translating complexity into actionable positions.
  • Partner with the Commercial team to evolve commercial playbooks, creating frictionless contracting processes that ensure consistency and efficiency across the sales cycle.
  • Design and deliver practical training for Revenue and Bid teams on contracting rules of engagement, deal hygiene, and regulatory risk.
  • Offer pragmatic, business‑focused advice on legal matters impacting the SaaS platform, including data protection, privacy, InfoSec, OSS, AI and cloud hosting.
  • Operate as part of a global deal team, travelling internationally to support high‑value strategic negotiations in person.

Qualifications

  • Qualified solicitor in England and Wales.
  • Minimum 8 years PQE in commercial/TMT departments of leading law firms or high‑growth SaaS in‑house roles.
  • Mastery of enterprise software implementation contracts, with deep knowledge of IP licensing, cloud hosting nuances and liability caps.
  • Demonstrated track record of leading commercial negotiations end‑to‑end as the sole or lead legal representative.
  • Decisive, autonomous decision‑maker able to provide clear positions without frequent senior oversight.
  • Concise and precise communicator who distills complex matters into actionable guidance.
  • Global mindset with experience in drafting contracts that bridge multiple jurisdictions (EMEA, North America, APAC).
  • Commercial acumen, translating legal issues into clear business advice while balancing risk and deal execution.
