A leading global financial services firm is seeking an experienced Company Secretary to join its EMEA Company Secretarial team for a 12 month period. This is a high‑impact role providing end‑to‑end company secretarial support across a large portfolio of entities, primarily in the UK with additional coverage across EMEA.
Key Responsibilities
- Act as Company Secretary for a portfolio of regulated and unregulated entities and board committees, including PRA and FCA‑regulated boards.
- Serve as a key point of contact for Chairs and non‑executive directors; prepare annual governance calendars, board agendas, and meeting packs.
- Advise directors on corporate governance best practices, including inductions, duties, and conflicts management.
- Minute meetings to UK listed company standards; support board effectiveness reviews and governance reporting for annual reports.
- Oversee regulatory filings and advise on entity restructurings, refinancings, and liquidations.
- Collaborate with and support the global teams on entity management, KYC queries, documentation, and governance processes.
- Contribute to strategic governance initiatives, including process improvements and training.
Requirements
- Qualified Company Secretary with 10+ years’ experience in a high‑performance environment.
- Strong stakeholder management skills, with experience supporting senior executives and non‑executive directors.
- Proactive, detail‑oriented, and able to work independently.
- Familiarity with Blueprint and Boardvantage is advantageous.
- Willingness to travel occasionally to London for board meetings.
