Title: Structured Finance & Fund Counsel – Renewables
Location: London
We are working with an international renewable energy platform that is looking to appoint a Structured Finance & Fund Counsel to support its global portfolio across solar, BESS and wind.
This is a hands‑on role focused on complex, multi‑jurisdictional transactions, working closely with investors, lenders and internal teams to structure and execute financing and fund‑related activities.
The position will lead legal structuring across project finance, capital markets and fund vehicles, and act as a key advisor on transactions tied to renewable energy assets globally.
Key Responsibilities
Structured Finance & Project Finance
- Lead drafting and negotiation of financing documentation across senior debt, mezzanine and hybrid structures
- Advise on security packages, intercreditor arrangements and lender approvals across multiple jurisdictions
- Structure and document private funds, co‑investment platforms and SPVs for institutional capital deployment
- Support legal aspects of equity investments and joint ventures
Capital Markets & Financing
- Support issuance of bonds and sustainability‑linked instruments
- Ensure alignment with relevant frameworks including ICMA Green Bond Principles
Cross‑Border Transactions
- Coordinate with external counsel across Latin America and Southeast Asia
- Manage legal risk across civil and common law jurisdictions
Regulatory & Compliance
- Monitor UK, EU and international regulatory developments
- Advise on AIFMD and cross‑border investment structures
Requirements
- Qualified solicitor in England & Wales or equivalent common law jurisdiction
- 5–10 years PQE in structured finance, fund formation or project finance
- Experience gained at a leading international law firm, financial institution or in‑house platform
- Strong exposure to multi‑jurisdictional transactions and cross‑border financing structures
- Experience working with international investors, lenders and counterparties
- Fluency in Mandarin is preferred due to stakeholder engagement
