Location: London
Job Description:

Job Description

We are currently working with a leading multinational oil & gas producer that has evolved into a major player in the global energy market. This is a rare opportunity for a talented lawyer to join a high-performing, flat-structured team where the legal function sits at the heart of the business strategy.

While your primary focus will be on corporate transactional work, you will operate as a versatile advisor across the full lifecycle of the business. You will enjoy significant visibility, working directly with the senior leadership team on business-critical projects.

The Role

You will handle a varied and demanding workload, acting as a key legal partner to the business. Your responsibilities will include:

  • Full-Cycle Transactional Work: Leading and managing M&A processes, from initial structuring to execution. This includes managing complex due diligence, coordinating cross-functional teams and running the internal process to ensure deal readiness.
  • Documentation & Drafting: Drafting, reviewing, and negotiating core transaction documents including Share Purchase Agreements (SPAs), Asset Purchase Agreements (APAs) and all ancillary documentation.
  • Energy Specialisation: Leveraging your expertise in oil & gas specific documentation, including concessions, Joint Operating Agreements (JOAs) and farm-in/farm-out arrangements.
  • Closing Mechanics: Managing the closing process, including conditions precedent, completion deliveries and signing mechanics.
  • Corporate Governance: Providing support on corporate secretarial matters, including board papers, shareholder resolutions and internal approval processes.
  • Commercial Advisory: Providing day-to-day legal support on joint ventures, asset management and general commercial contracts.

The Ideal Profile

We are looking for a lawyer who is resilient, commercially savvy and capable of operating under pressure.

  • Experience: 5–8 years PQE. Ideally 4–5 years of experience in a high-quality private practice environment (or equivalent).
  • Industry Knowledge: Essential experience in the oil & gas sector. You must be comfortable with concessions, JOAs and the mechanics of large-scale energy projects.
  • In-House Mindset: Ideally, you have some in-house experience or, if coming straight from private practice, you possess the commercial acumen to thrive in a business-facing role.
  • Versatility: You are not looking to be a specialist in one narrow area; you want a role where you can apply your skills to a diverse range of corporate and operational legal challenges.
  • Cultural Fit: We need a proactive, can-do personality. You must be comfortable working in a demanding, fast-paced environment where decision-making is rapid.
