At Eni, we are looking for a Senior Legal Counsel within Eni UK Limited in London. You will be responsible for providing legal services to Eni UK (including to its affiliates via intra group service arrangements). This will involve work across a range of matters, principally relating to Eni UK’s and its affiliates’ oil and gas exploration and production activities (in particular, decommissioning), Eni UK’s interface with affiliates’ carbon capture and storage (CCS) projects (including asset transfers and service provision), other non‑CCS energy transition and renewables initiatives or projects involving Eni UK, procurement matters, intra‑group services, and corporate reorganisations or transactions (Eni UK’s Business).

Eni UK Limited, a member of the Eni S.p.A. group, is responsible for the decommissioning of onshore and offshore assets in the United Kingdom. Eni UK Limited is leading two important decommissioning projects in Liverpool Bay and the Southern North Sea (Hewett field). Through decommissioning assets and leveraging its comprehensive knowledge, the company is supporting the UK’s targets to achieve net zero emissions by 2050, ensuring that infrastructure can be repurposed for future CO2 transport and storage.

Main Responsibilities

  • Provide high‑quality, proactive and commercially focused legal advice across all aspects of Eni UK’s Business, as assigned by the Head of Legal and Corporate Secretary.
  • Review, draft and negotiate agreements (e.g., decommissioning, security, procurement, proximity/crossing, farm‑in, real estate, planning, intra‑group services and asset transfers, JV co‑operation, shareholders’ agreements, confidentiality agreements and novations).
  • Advise on regulatory instruments and obligations, including exploration and production licences and agreements with The Crown Estate.
  • Support CCS‑related matters, including asset transfers, intra‑group services and regulatory compliance.
  • Assist with acquisition, divestiture and M&A activities, including due diligence, pre‑emption, SPA drafting/negotiation, regulatory approvals and general transaction management.
  • Advise on dispute resolution, including litigation, arbitration, mediation and expert determination, and manage external counsel.
  • Support corporate reorganisations, restructurings and liquidations with finance and company secretarial teams.
  • Provide legal support for UK and international projects as required.
  • Monitor legislative and regulatory developments affecting Eni UK’s Business.
  • Liaise internally with Eni UK and affiliate departments and externally with JV partners, contractors, landowners, regulatory bodies, industry groups and advisers, attending meetings in person or remotely as needed.
  • Provide shared legal services within the wider Eni group, where required.
  • Participate in functional reporting within the Eni group’s legal community.
  • Use relevant document and information management systems (e.g., Mosaic, e:Concession).
  • Undertake required professional development, including internal training and legal know‑how.
  • Comply fully with the Eni Code of Ethics, Compliance Model and HSE policies, and support other compliance requirements (e.g., claims reporting, Sarbanes‑Oxley).

Skills and Experience Required

  • Law degree with strong academic results.
  • Qualified solicitor/barrister or equivalent.
  • Relevant post‑qualification experience.
  • Experience operating at a senior level appropriate to the role.
  • Strong working knowledge of, and relevant experience in, the UKCS upstream oil and gas industry.
  • Excellent legal skills, particularly in commercial law, with an understanding of and exposure to UK real estate and planning law.
  • Good computer skills (e.g., Microsoft Office Suite).
  • Astute, commercially aware and highly motivated.
  • Effective communication and negotiation skills.
  • Ability to work independently and collaboratively, and to manage high levels of responsibility.
  • Willingness to attend meetings within the UK and overseas, as required.
