Interim M&A Consultant (Buy-side Execution)

Day Rate: £600–1000 per day
A PE-backed B2B software business with c.£25m revenue is seeking an Interim M&A Consultant to support a highly active and time-sensitive buy-and-build programme across the UK and European software market.
The business is backed by a leading mid-market private equity investor and is currently running multiple live buy-side processes in parallel, with transactions ranging across vertical SaaS, workflow automation and mission-critical enterprise software.
This is a hands-on buy-side execution role, working directly with the CEO, CFO and PE sponsors, supporting live transactions through exclusivity, diligence and signing.
The requirement is specifically for an investment banking-trained M&A professional who has transitioned into corporate development or transaction execution roles and is comfortable operating in high-intensity deal environments with full process ownership.
Key Responsibilities
- Lead execution workstreams across live buy-side software acquisitions (UK and Europe) from exclusivity through to completion
- Drive end-to-end diligence coordination across financial, commercial, legal and technology advisors in parallel workstreams
- Develop and review financial models, valuation outputs and investment committee materials for PE-level decision making
- Manage live transaction processes with tight timelines, including data room execution, Q&A management and stakeholder coordination
- Support SPA negotiation, structuring and documentation alongside legal and financial advisors
- Act as a key execution interface between management teams and PE investors across multiple concurrent deals
- Assess SaaS and software businesses with a focus on recurring revenue quality, churn, scalability and margin profile
Candidate Profile
- 5–10 years’ M&A experience, ideally starting in investment banking (M&A / FIG / Tech / TMT coverage strongly preferred)
- Subsequent experience in corporate development, PE-backed portfolio company or transaction advisory role
- Proven buy-side execution experience in software, SaaS or technology-enabled businesses
- Strong financial modelling, valuation and transaction execution capability under live deal conditions
- Experience managing multiple workstreams under time pressure in competitive or proprietary processes
- Comfortable operating in a high-accountability, low-support environment with direct PE and C-suite exposure
- Available immediately or at short notice
