Interim Company Secretary – London (Insurance Sector)

MLA is recruiting for an experienced Interim Company Secretary to join a globally recognised, market-leading insurance group with a significant international footprint and longstanding presence in the London market.

Operating at scale across multiple jurisdictions, this organisation is known for its sophisticated governance structures, complex regulated entities, and high-performing boards. This role sits within a highly regarded legal and governance function supporting UK regulated businesses and their wider corporate structure.

Key responsibilities include:

  • Acting as Company Secretary across UK regulated and non-regulated entities
  • Advising Boards and Committees on governance and regulatory matters, and briefing the chairman and the independent directors as necessary to ensure that efficient decision-making takes place
  • Managing board and committee cycles (agendas, packs, minutes, actions)
  • Supporting board effectiveness, evaluations, and director onboarding
  • Drafting board papers, resolutions, and governance documentation
  • Draft and circulate board/shareholders’ resolutions (e.g. in respect of dividends or board appointments)
  • Attend and manage Board and Committees’ meetings proactively and ensure the production of timely and appropriate minutes
  • Maintaining statutory records and supporting regulatory/KYC requests

Key requirements:

  • 10 years company secretarial experience within the insurance sector
  • Exposure to Lloyd’s / regulated environments
  • Chartered Secretary (or equivalent)
  • Strong board-facing experience and executive presence
  • Excellent organisational, communication, and stakeholder management skills
  • Minute taking and resolutions drafting experience with regulated entities at board level
  • Diligent Entities experience (or equivalent company secretariat tool)
  • Knowledge of UK governance regulation
  • Ability to manage assistant company secretaries and organise workloads

London based.

Immediate start and contract until the end of the year.

4 days in office, 1 day remote (Fridays).
