Senior Company Secretary – Corporate Governance Office – Milton Keynes – United Kingdom

High‑profile role in the UK Corporate Governance Office that supports Board Committees and subsidiary boards with governance expertise.

Responsibilities

  • Run one Board level committee and subsidiary boards (including board committees) or a management committee, including all preparation, taking minutes of meetings and distributing actions.
  • Take responsibility for your own portfolio of subsidiary legal entities.
  • Implement and oversee compliance with the Subsidiary Governance Framework.
  • Contribute to the annual report and financial statements programme.
  • Provide specialist advice on statutory compliance and governance best practice, internal governance requirements and new business and legislative developments/projects.
  • Work closely with and build strong, effective relationships with Senior Management and Board members.
  • Act as line manager to member(s) of the Corporate Governance Office Team, including identifying and facilitating development opportunities for them.

Required Experience

  • Practical knowledge of corporate governance, including the Companies Act 2006, the UK Corporate Governance Code, PRA/FCA governance requirements and listing rules, together with strong stakeholder management and diplomacy skills (Required).
  • Experience running a Board level Committee (Required).
  • Experience working effectively in a busy corporate governance or secretariat function (Required).
  • Experience working in a regulated environment, ideally financial services (Required).
  • Experience contributing to the annual report and financial statements programme (Required).

Education

  • Membership of the Chartered Governance Institute as an Affiliate, Associate or Fellow, or equivalent (Required).

  • English

  • Well‑developed organisational skills, with the ability to manage competing priorities, work efficiently under pressure and to tight deadlines (Required).

  • Line management experience (Required).
  • Ability to mentor and develop more junior team members (Required).

Salary and Benefits

Salary Range: £98,000 to £122,500 per annum (depending on experience). Annual salary is based on a standard 35‑hour working week; actual salary offered will depend on skills, experience, qualifications and location.

  • 30 days’ holiday plus bank holidays (increases to 31 days after 5 years of service), with the option to purchase up to 5 contractual days per year.

Working Pattern & Location

Hybrid working pattern – roles are site‑based with colleagues expected to attend the office at least 12 days per month (pro‑rata for part‑time roles). Consider travel distance, time and cost to the chosen office location.
