Your New Opportunity
I am supporting a financial services business that is looking to hire a permanent Company Secretary to lead the function. This a fantastic opportunity for a candidate to step up into a pivotal senior governance appointment. You will be the trusted adviser on all matters of corporate governance across the Group, leading Board and committee administration, ensuring statutory and regulatory compliance, and embedding scalable governance frameworks that support a business growing at pace. You will have line management responsibility for an Assistant Company Secretary and sit on the Legal & Governance senior leadership team.
Key Responsibilities Include
- Advise senior stakeholders on governance, including directors’ duties, conflicts and Board effectiveness.
- Lead Board and Committee processes, including meeting preparation, minutes and action tracking.
- Oversee governance for transactions, restructurings and strategic initiatives.
- Manage statutory compliance, filings and corporate records.
- Support Board composition, succession planning and effectiveness.
- Lead director induction, training and D&O insurance.
- Monitor regulatory changes and advise on business impact.
- Managing and mentoring an Assistant Company Secretary
What We’re Looking For
- Fully CGI qualified with significant experience in a regulated banking or financial services environment.
- Proven track record advising Boards, CEOs, General Counsels and NEDs in a fast-paced, high-growth in-house setting.
- Deep knowledge of corporate law, FCA/PRA requirements and corporate governance codes.
- An experienced people leader with a team-first approach.
- Exceptional stakeholder management and communication skills, with credibility at the most senior levels.
