An exciting opportunity has arisen for an experienced Senior Assistant Company Secretary to join a growing global organisation on a 12-month fixed-term contract to provide maternity cover.
This is a broad and highly visible role within a fast-paced international business that is continuing to evolve and mature its governance framework. The position offers a unique blend of high-volume business-as-usual company secretarial responsibilities alongside the opportunity to contribute to a number of strategic governance and transformation projects.
Key Responsibilities
- Take ownership of the group’s global entity management programme.
- Oversee annual compliance requirements, statutory filings, director and officer changes, and maintenance of corporate records across multiple jurisdictions.
- Coordinate with external company secretarial service providers globally to ensure compliance obligations are met.
- Support governance activities for regulated subsidiary boards.
- Assist with board and committee administration where required.
- Ensure corporate governance records and reporting remain accurate and up to date.
- Provide oversight and support to a junior company secretarial team member based in India, with potential responsibility for an additional direct report.
- Monitor workload allocation, development and performance whilst maintaining effective communication across different time zones.
- Collaborate closely with colleagues across Legal, Compliance, Finance and external stakeholders.
Alongside core company secretarial responsibilities, the successful candidate will play a key role in several important governance initiatives, including:
- Implementation and rollout of an AI-enabled company secretarial platform.
- Review and redesign of the Group’s Delegation of Authority framework.
- Corporate structure rationalisation and entity consolidation projects.
- Supporting governance requirements associated with the organisation’s continued growth and maturity.
Candidate Profile:
- Approximately four or more years of relevant company secretarial experience.
- Experience managing international entity portfolios across multiple jurisdictions.
- Strong knowledge of corporate governance and statutory compliance requirements.
- Experience coordinating with external company secretarial providers.
- Previous exposure to regulated entities and subsidiary board governance.
- Experience supervising or mentoring junior team members.
- Excellent organisational skills with the ability to manage a high-volume workload whilst balancing strategic project work.
- Strong stakeholder management and communication skills.
- The ability to work independently, take ownership and use initiative.
- Full CGI qualification is not essential; however, relevant company secretarial experience and technical capability are key.
