• Serve as legal point person, providing transactional and advisory support to fixed income sales and trading desks

n

• Advise on deal‑contingent hedging strategies and related swap transactions

n

• Review and analyze M&A documentation, including asset purchase agreements, NDAs, and commitment letters

n

• Evaluate credit agreements and transaction documents for project finance deals

n

• Counsel on securities law matters and support ongoing structured note programs

n

• Manage global outside counsel to assess execution risk and closing probability for acquisition and financing transactions tied to derivatives

n

• Partner with business, risk, and external stakeholders to identify and resolve legal issues in structured cash and derivatives transactions

n

• Respond to cross‑functional inquiries (trading, sales, risk, operations, finance, onboarding) on legal, credit, and documentation matters

n

• Support ad‑hoc legal initiatives and special projects as needed

n

nThe Successful Applicantn

n
• JD from ABA accredited law school

n

• Admission to NY State Bar

n

• 4+ years of experience gained at a top law firm working with structured products, or gained in‑house providing legal transaction and advisory support to investment bank’s fixed income sales and trading desk

n

• Strong understanding of derivatives and fixed income structured products

n

• Strong knowledge of a wide range of financial products, having advised on new product launches within the investment banking space

n

• Experience advising senior stakeholders within an investment bank

n

• Excellent drafting and negotiating skills

n

• Strong understanding of regulatory laws and compliance matters relating to sales and trading businesses

n
