Senior Company Secretary

Based in Milton Keynes/London, you will support the UK Corporate Governance Office by providing internal and corporate governance advice to the business and acting as a liaison between the Group Internal Governance Office and senior stakeholders.

Responsibilities

  • Provide internal and corporate governance advice and act as liaison on corporate governance matters.
  • Offer specialist advice on corporate governance best practice, including listing rules, DTRs, MAR, and the UK Corporate Governance Code.
  • Lead the Corporate Governance Office on the annual report and financial statements programme for the ring‑fenced bank and the holding company.
  • Act as deputy for the Head of Corporate and Internal Governance.
  • Act as Secretary and advisor to Board level Committees, fostering relationships with senior management and Executive & Non‑Executive Board members.
  • Manage and develop the Internal Governance Team.
  • Keep up to date with legal and regulatory developments and ensure local policies are updated accordingly.
  • Lead corporate governance aspects of new business initiatives, projects, legislative and regulatory developments.
  • Oversee application of the documents workflow system SIMPLA and the meeting management tool SanGovPro across business areas.

Qualifications

  • Practical knowledge of corporate governance, the Companies Act 2006, the UK Corporate Governance Code, PRA/FCA governance requirements and listing rules.
  • Minimum 7 years of experience as a company secretary in a listed or financial services business.
  • Membership of the Chartered Governance Institute (Affiliate, Associate or Fellow) or equivalent.
  • Experience working in a busy corporate governance or secretariat function.
  • Excellent attention to detail and written communication skills.
  • Well‑developed organisational skills, able to manage competing priorities under tight deadlines.
  • Experience in a regulated environment, ideally financial services.
  • Ability to mentor and develop junior team members.
  • Line‑management experience.
  • A positive attitude and ability to work effectively with people at all levels.

  • Salary: £98,000 – £147,000 per annum, based on experience and location.

Working Hours
